Our health care law practice includes advising laypersons who want an ownership stake in a health care business. Because of the corporate practice of medicine doctrine and other legal rules, we frequently structure such businesses to separate administrative and management functions (by incorporating a management company as a general business corporation or LLC) from clinical decision-making (which typically run through a professional medical or other professional corporation). In other words, we advise clients on legally compliant business structures that enable laypersons to profit from contractual ventures with professionals and professional entities (such as physicians, nurses, dentists, psychologists, chiropractors, acupuncturists).
